Job Description

• Provide guidance to clients on various corporate and business transactions
• Compose and negotiate operating agreements, shareholder agreements, partnership agreements, stock and asset purchase agreements, licensing agreements, and employment agreements
• Manage corporate governance matters and compliance concerns
• Assist clients in mergers, acquisitions, joint ventures, and private placements
• Conduct legal research and offer strategic business advice
• Act as a mentor to junior attorneys and legal staff as required

Qualifications

• 6+ years of experience in corporate and transactional law
• Specialization in mergers and acquisitions, partnerships, LLCs, private placements, and related business transactions
• Solid drafting and negotiation skills
• Licensed to practice law in Florida and in good standing with the Florida Bar
• Background in data privacy/cybersecurity or corporate tax law is advantageous
• Exceptional legal judgment, business acumen, and client management skills
